Terms of Service

1. Preamble
These Terms of Service ("Terms") govern the use of the Cirko platform ("Platform"), operated by Cirko SAS, a French simplified joint-stock company registered under SIREN [to be completed], with its registered office at [address to be completed], Paris, France (hereinafter "Cirko", "we", "us").
By creating an account or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.
These Terms apply regardless of the country from which you access or use the Platform. Where applicable, additional jurisdiction-specific provisions are described in each relevant section.
2. Definitions
- Platform: The Cirko SaaS web application, mobile application, and associated APIs.
- Tenant: An organization (association, nonprofit, community) that subscribes to Cirko.
- Admin: A Tenant representative who manages the Tenant account.
- Manager: A Tenant member who coordinates campaigns, volunteers, and beneficiaries.
- User: Any person with access to the Platform (Admin, Manager, Volunteer, Beneficiary).
- Volunteer: A person who performs missions coordinated through the Platform.
- Beneficiary: A person who receives services coordinated through the Platform (e.g., meal deliveries, tutoring sessions, home visits).
- Donor: A visitor who makes a donation through a Tenant's public donation page. Donors do not have an account on the Platform.
- Subscription: A paid or free plan granting access to Platform features.
- Campaign: A coordinated set of missions organized by a Tenant for the benefit of one or more Beneficiaries.
3. Purpose
Cirko provides a white-label SaaS platform for managing solidarity campaigns (meal delivery, food packages, tutoring, accompaniment, home visits, and more). The Platform enables Tenants to:
- Coordinate volunteers and assign missions using an intelligent matching algorithm
- Manage beneficiaries and their service needs
- Process donations directly through the Tenant's own Stripe account
- Generate tax receipts (CERFA in France; other jurisdictions planned)
- Communicate with volunteers and beneficiaries via push notifications, email, and SMS
- Access an AI-powered assistant for campaign management (on eligible plans)
4. Role of the Platform & Tenant Responsibilities
Cirko is a technology provider. The Platform is a software tool that helps organizations coordinate campaigns, manage volunteers, and process donations. Cirko does not itself provide, supervise, or control the services delivered by Tenants, their volunteers, or their staff to beneficiaries.
Without limiting the generality of the above:
- No employment or agency relationship — Cirko is not the employer, principal, or agent of any volunteer, manager, or beneficiary. No employment, agency, partnership, or joint venture is created between Cirko and any Tenant, User, or third party by virtue of these Terms.
- No supervision of field operations — Cirko does not supervise, direct, or control the activities performed by volunteers in the field, including but not limited to: food preparation, food delivery, transportation, tutoring, home visits, or any other service. The Tenant is solely responsible for the supervision, training, and instruction of its volunteers.
- No quality guarantee — Cirko makes no representation or warranty regarding the quality, safety, legality, or suitability of any service delivered by a Tenant or its volunteers to beneficiaries. This includes, without limitation, food safety, hygiene compliance, and regulatory compliance.
- Tenant's operational responsibility — The Tenant is solely responsible for:
- Ensuring compliance with all applicable laws and regulations (food safety, hygiene, volunteer regulations, fundraising laws)
- Vetting, training, and supervising its volunteers
- Establishing and enforcing operational procedures (e.g., food safety protocols, delivery procedures, safeguarding policies)
- Maintaining adequate insurance coverage (see Section 5)
- Responding to complaints or claims from beneficiaries
The Platform's volunteer matching algorithm provides suggestions only. The Tenant retains full discretion and responsibility over which volunteers are assigned to which missions.
5. Insurance Requirements
By using the Platform, the Tenant represents and warrants that it maintains adequate insurance coverage appropriate for its activities, including but not limited to:
- General liability insurance (assurance responsabilité civile) covering bodily injury and property damage arising from the Tenant's operations and volunteer activities
- Food safety insurance (if the Tenant's activities involve food preparation or distribution)
- Professional liability insurance where required by applicable law or regulation
The Tenant shall maintain such insurance throughout the duration of its use of the Platform and shall provide proof of coverage upon Cirko's reasonable request.
Cirko is not an insurer and does not provide any insurance coverage. The Tenant's insurance obligations are independent of and in addition to the indemnification obligations set forth in Section 18.
6. Account Creation & Responsibilities
To use the Platform, the Admin must create an account providing accurate and complete information. The Admin is responsible for:
- Maintaining the confidentiality of their credentials
- All activities performed under their account and by Users they invite
- Ensuring that all information provided (legal data, organizational details) is accurate and up to date
- Complying with applicable laws in their jurisdiction (fundraising regulations, data protection, tax obligations)
Cirko reserves the right to suspend or terminate any account that violates these Terms, provides false information, or is used for unlawful purposes. Cirko will provide reasonable notice before suspension except in cases of fraud, security threats, or legal obligation.
7. Subscription Plans & Pricing
The Platform offers the following plans:
- Discovery (Free) — Up to 3 active beneficiaries, 15 volunteers, 1 campaign
- Essential — Up to 25 active beneficiaries, 100 volunteers, 10 campaigns, 100 SMS/month, 1 donation page
- Pro — Up to 200 active beneficiaries, unlimited volunteers, unlimited campaigns, 1,000 SMS/month, 5 donation pages, installment donations, tax receipts, AI chat, custom domain
- Federation — Unlimited everything, multi-site, API access, SSO, custom pricing
Pricing varies by currency (EUR, USD, CAD, ILS) and billing cycle (monthly or annual, with approximately 20% savings on annual plans). Current prices are displayed on the Platform's pricing page in the Tenant's local currency.
SMS limits: Each plan includes a monthly SMS allowance. When the allowance is exhausted, SMS sending is suspended until the next billing cycle. Email notifications remain active.
AI chat: Available on Essential (limited), Pro, and Federation plans. Usage is subject to daily message limits as described on the pricing page. The AI assistant may access Tenant data (campaign statistics, volunteer information, planning data) to provide relevant responses.
8. Payment Terms
Subscriptions are billed through Paddle, our Merchant of Record. Paddle handles invoicing, VAT/sales tax collection, and payment processing on behalf of Cirko. By subscribing, you also agree to Paddle's terms of service.
Payments are due at the beginning of each billing period. Paddle supports payment by credit card and other local payment methods depending on your country.
Invoices: Paddle issues invoices automatically. They are accessible from the billing section of the Platform dashboard and from Paddle's customer portal.
9. Upgrades & Downgrades
Upgrades take effect immediately. A pro-rated charge is applied for the remainder of the current billing period. New plan features and limits are available instantly.
Downgrades take effect at the end of the current billing period. The Tenant retains access to the current plan's features until that date. If the Tenant exceeds the new plan's limits (e.g., more beneficiaries or campaigns than allowed), they must reduce usage before the downgrade takes effect. Existing data is not deleted, but creation of new items beyond the limit is blocked.
10. Free Trial & Free Plan
The Discovery (Free) plan is available indefinitely with no credit card required. It provides a limited set of features suitable for small organizations.
Cirko may offer promotional trial periods for paid plans. Trial terms will be communicated at the time of activation. At the end of a trial, the Tenant must subscribe to continue using paid features or the account reverts to the Free plan.
11. Cancellation & Refunds
The Admin may cancel the Subscription at any time from the Platform dashboard. The Subscription remains active until the end of the current billing period, after which the account reverts to the Free plan.
Cirko may terminate a Subscription immediately in case of:
- Material breach of these Terms
- Fraudulent or illegal activity
- Non-payment after two consecutive failed payment attempts and a 14-day grace period
Refund policy: As Paddle is the Merchant of Record, refund requests are handled in accordance with Paddle's refund policy and applicable consumer protection laws. If you believe you are entitled to a refund, contact our contact form.
Data retention after cancellation: Data is retained for 3 years after cancellation in read-only mode. After 3 years, it is permanently deleted. The Admin may request earlier deletion or a full data export at any time by contacting legal@cirko.app.
12. Donations
Cirko is not a payment intermediary. Donations are processed directly through the Tenant's own Stripe account. Cirko does not receive, hold, or manage donation funds at any point.
The Tenant is solely responsible for:
- Configuring their Stripe account and ensuring it is in good standing
- Complying with applicable fundraising regulations in their jurisdiction
- Issuing tax receipts under their own authority and verifying their accuracy
- Properly informing donors about the use of their donations
Installment donations: Donors may choose to split their donation into monthly installments (3, 6, or 12 months) where enabled by the Tenant. Installment payments are implemented as Stripe Subscriptions on the Tenant's account and are subject to Stripe's terms.
Tax receipts: Cirko provides tools to generate tax receipts (CERFA in France). One receipt is generated per payment, including each individual installment of a split donation. The Tenant is solely responsible for the accuracy of tax receipts. Cirko assumes no liability for incorrect or fraudulent use of tax receipt generation.
Cirko charges 0% commission on all donations processed through the Platform.
13. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law or regulation
- Collect donations for purposes unrelated to the Tenant's declared mission
- Issue fraudulent tax receipts or misrepresent the tax-deductibility of donations
- Process personal data in violation of data protection laws (GDPR, CCPA, PIPEDA, or equivalent)
- Upload malicious content, attempt to access other Tenants' data, or interfere with the Platform's operation
- Use the AI assistant to generate harmful, misleading, or illegal content
- Resell, sublicense, or redistribute access to the Platform
- Use automated scripts, bots, or crawlers to access the Platform (except through the official API on eligible plans)
Violation of this acceptable use policy may result in immediate suspension or termination of the Tenant's account.
14. Intellectual Property
Cirko retains all intellectual property rights to the Platform, including its software, design, algorithms, documentation, and branding. The Tenant is granted a non-exclusive, non-transferable, revocable license to use the Platform for the duration of their Subscription.
The Tenant retains full ownership of their data, including: volunteer profiles, beneficiary information, donation records, campaign configurations, and all content uploaded to the Platform. Cirko will not access, use, or share Tenant data except as necessary to provide the service or as required by law.
15. Data & Privacy
Cirko processes personal data in accordance with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), the Israeli Protection of Privacy Law (5741-1981), the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA), and other applicable data protection laws.

For Tenants processing personal data through the Platform, Cirko acts as a data processor. The terms of data processing are described in our Data Processing Agreement.
16. Automated Decision-Making & Volunteer Matching
The Platform uses an automated scoring algorithm to suggest volunteer assignments for missions. This algorithm considers:
- Geographic proximity between volunteers and beneficiaries
- Equity (distributing missions fairly among volunteers)
- Reliability (based on mission history — completions vs. cancellations)
- Seniority (registration date)
- Skills match (required and optional skills for the mission)
The scoring weights are configurable by the Tenant Admin. Automated suggestions are always reviewed by a Manager before final assignment. No mission is assigned without human oversight.
Volunteers have the right to request an explanation of their scoring and to contest automated decisions by contacting their Tenant's administrator.
17. Limitation of Liability
The Platform is provided "as-is" and "as-available." Cirko does not warrant that the Platform will be uninterrupted, error-free, or meet the Tenant's specific requirements.
Cirko shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of data resulting from the Tenant's actions or third-party services (Stripe, Supabase, Paddle)
- Fundraising results, donation amounts, or campaign outcomes
- Errors in tax receipts issued by the Tenant
- The Tenant's compliance with local laws and regulations
- The quality, timeliness, or safety of services provided by volunteers to beneficiaries
- Responses generated by the AI assistant
Cirko's total aggregate liability is limited to the amount paid by the Tenant for the 12 months preceding the claim. This limitation does not apply where prohibited by applicable law.
18. Indemnification
The Tenant agrees to indemnify, defend, and hold harmless Cirko and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees and court costs) arising from or related to:
- The Tenant's use of the Platform or any misuse thereof
- Violations of these Terms or applicable law by the Tenant or its Users
- Tax receipts issued by the Tenant through the Platform, including inaccurate or fraudulent receipts
- Donations processed through the Tenant's Stripe account, including refund disputes or chargebacks
- Services provided by the Tenant's volunteers or staff to beneficiaries, including but not limited to: food preparation, handling, and delivery (food poisoning, allergic reactions, contamination); personal care or assistance; educational or tutoring services; transportation and delivery incidents; any bodily injury, property damage, or emotional harm
- Claims brought by beneficiaries, volunteers, donors, or any third party against Cirko relating to the Tenant's activities
- Failure to maintain adequate insurance coverage as required under Section 5
- Non-compliance with food safety, health, or other applicable regulations
- Inaccurate, misleading, or incomplete information provided by the Tenant on the Platform
This indemnification obligation survives the termination or expiration of the Tenant's account and these Terms.
19. Service Availability
Cirko targets 99.9% uptime but does not guarantee it. Planned maintenance will be announced at least 48 hours in advance via email to Admins. Force majeure events (natural disasters, cyberattacks, infrastructure provider outages, pandemics, government orders) exempt Cirko from liability for service interruptions.
20. Modifications to These Terms
Cirko may modify these Terms at any time. Material changes will be communicated by email at least 30 days before taking effect. The updated Terms will also be published on this page with a new "Last updated" date.
Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you may cancel your Subscription before the effective date.
21. Dispute Resolution
In the event of a dispute arising from or relating to these Terms:
- Amicable resolution: The parties agree to first attempt to resolve the dispute through good-faith negotiation by contacting legal@cirko.app.
- Mediation: If negotiation fails within 30 days, the parties agree to attempt mediation before resorting to litigation.
- Jurisdiction: If mediation fails, disputes shall be submitted to the competent courts as follows:
- For Tenants in the European Union: courts of Paris, France
- For Tenants in Israel: courts of Tel Aviv, Israel
- For Tenants in North America: courts of the Tenant's jurisdiction
- For all other Tenants: courts of Paris, France
22. Governing Law
These Terms are governed by and construed in accordance with French law, without regard to conflict-of-law principles. Where mandatory consumer protection laws of the Tenant's country of residence provide greater protection, those laws shall apply to the extent required.
23. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
